UBA wins court backing to enforce Stallion Group debt recovery

UBA wins court backing to enforce Stallion Group debt recovery

United Bank for Africa (UBA) Plc has secured a favourable judgment in its debt recovery dispute with Stallion Group, strengthening the lender’s legal position to enforce mortgage security, take possession of mortgaged property and pursue outstanding obligations against the borrowers and their guarantors.

The Federal High Court sitting in Ikoyi, Lagos, presided over by Justice Daniel Osiagor, granted the reliefs sought by UBA, upholding the appointment of a receiver/manager and affirming the enforceability of the mortgage security, according to a statement by the bank.

The ruling also restrained the defendants from diverting receivables due to them from government agencies, a measure that could help protect the bank’s recovery interests while proceedings to enforce its claims continue.

The judgment highlights the legal mechanisms available to lenders seeking to recover outstanding obligations where borrowers dispute the amount owed but do not contest the existence of the underlying indebtedness.

According to the bank, the court observed that the defendants did not dispute their indebtedness to UBA but challenged the amount claimed. It held that the reconciliation of accounts between the parties did not extinguish or negate the underlying debt.

In affirming UBA’s position, the court upheld the appointment of the receiver/manager and confirmed his entitlement to take possession of the mortgaged property and seek appropriate protective orders.

Receivership is a debt recovery mechanism through which a duly appointed receiver takes control of specified assets or business interests to protect secured creditors’ interests, subject to the terms of the security documents and applicable law.

The enforceability of such arrangements is central to credit risk management for lenders, particularly where loans are backed by mortgages and other security instruments. A favourable judgment on the validity of the appointment and the underlying security can strengthen a creditor’s ability to pursue recovery through lawful channels.

The court also dismissed objections by the 12th defendant, ruling that it had failed to establish proprietary rights over the mortgaged property. Its consent was therefore not required for the creation of the mortgage, according to the bank’s account of the judgment.

The decision removes that particular objection to the mortgage’s validity, reinforcing UBA’s position in seeking to enforce the security.

The court also affirmed the liability of the guarantors, preserving another avenue through which UBA can pursue recovery of the outstanding obligations.

Guarantees are an important component of commercial lending, providing lenders with additional recourse where borrowers fail to meet their repayment obligations. Their enforceability can influence banks’ assessment of credit risk and the protections required before extending financing.

The ruling also restrained the defendants from diverting receivables owed to them by government agencies. Such receivables can be important sources of cash flow for businesses, and restrictions on their diversion may help preserve assets relevant to a creditor’s recovery efforts.

The decision comes against the backdrop of the importance of effective debt recovery and enforceable collateral arrangements to commercial banking. For lenders, the ability to realise security and pursue guarantors when borrowers default is a key consideration in determining lending terms, collateral requirements and risk exposure.
