Nigeria’s broadband space is poised for a major shake-up as Legend Internet Plc and Spectranet move to merge operations in a deal expected to create the country’s largest internet service provider (ISP) with an estimated market capitalisation of N80 billion.
The proposed transaction, slated for completion in the second quarter of 2026, marks one of the most significant consolidation plays in Nigeria’s fast-evolving digital infrastructure space. If finalised, the combined entity will command enhanced scale, stronger capitalisation, and expanded network capabilities.
In a corporate disclosure signed by Company Secretary Erinma Onuoma, Legend Internet confirmed that the merger remains subject to regulatory approvals, including clearance from the Federal Competition and Consumer Protection Commission (FCCPC) and the Nigerian Communications Commission (NCC).
The planned merger comes at a pivotal moment for Nigeria’s broadband sector, where data consumption continues to rise rapidly, driven by digital transformation, remote work trends, fintech adoption, and increased reliance on online services.
Industry analysts view the transaction as a strategic response to both competitive pressures and infrastructure constraints. By combining their respective assets, Legend Internet and Spectranet aim to unlock economies of scale, streamline operations, and accelerate investment in next-generation technologies.
The enlarged entity is expected to deliver substantial synergies, including optimised network infrastructure, reduced operational costs, and improved capital efficiency. These gains, according to market observers, could significantly enhance profitability while strengthening the company’s long-term growth trajectory.
Central to the merger is an ambition to build a nationwide, future-ready digital infrastructure platform capable of meeting Nigeria’s growing connectivity needs.
Oladimeji Bada, chairman of Legend Internet, described the deal as a transformational step toward achieving that vision.
“With a stronger capital base and improved infrastructure, we are now well positioned to invest in next-generation technologies, expand into new markets, and deliver a full range of digital services,” Bada said.
He added that the merger brings the company closer to its long-term goal of driving Nigeria’s economic and technological advancement through robust digital infrastructure.
Echoing this sentiment, Chief Executive Officer Aisha Abdulaziz described the transaction as a defining moment for the industry.
“This marks a pivotal moment for Nigeria’s broadband sector. Our merger with Spectranet positions us to build a future-ready digital platform that delivers world-class connectivity while creating sustained value for shareholders,” she said..
The combined platform is expected to offer an integrated suite of services spanning fixed broadband, mobile connectivity, and enterprise-grade digital solutions.
By leveraging shared infrastructure and technical expertise, the merged entity aims to deliver more reliable and efficient services, addressing longstanding challenges in Nigeria’s broadband ecosystem such as inconsistent connectivity and limited reach in underserved areas.
From an investor perspective, the merger is expected to enhance shareholder value through increased scale, stronger market positioning, and improved capacity to capture growth opportunities in Nigeria’s expanding digital economy.
The enlarged balance sheet and operational footprint could also improve access to financing, enabling the company to fund capital-intensive infrastructure projects and technology upgrades.
Importantly, the transaction positions Legend Internet ahead of potential strategic initiatives, including a possible public offering later in 2026. Market analysts note that consolidation often precedes such moves, as companies seek to strengthen their fundamentals and market appeal before tapping equity markets.
Legend Internet, which listed on the Nigerian Exchange in 2025, has been steadily building its presence as a broadband provider focused on high-speed internet access and integrated digital services. Spectranet, on the other hand, brings a well-established customer base and a reputation for reliable broadband solutions, particularly in urban centres.
