AFC moves Dangote refinery financing from project debt to growth capital

A $2.5 billion equity injection into Dangote Petroleum Refinery and Petrochemicals FZE is giving fresh institutional backing to one of Africa’s biggest efforts to shift the continent from imported petroleum products towards domestic refining and petrochemical production.

The private placement, led by Africa Finance Corporation (AFC), attracted demand 3.7 times the shares available and brought international and African institutional investors, sovereign-related investment vehicles and development finance institutions into DPRP’s shareholder base.

The deal was 3.7 times oversubscribed, according to AFC, attracting international and African institutional investors, sovereign-related investment vehicles, development finance institutions and existing strategic partners.

For Dangote, the transaction provides another funding channel as the group targets a more than twofold increase in the refinery’s nameplate capacity, from 650,000 barrels per day to 1.4 million barrels per day by 2028.

The move potentially changes the financing profile of one of Africa’s most ambitious industrial assets. Rather than relying predominantly on sponsor capital and debt, DPRP is broadening its institutional shareholder base as it moves from commissioning and ramp-up towards a larger, cash-generating industrial platform.

The development also showcases how financing for the Dangote refinery has evolved.

AFC has been involved with the project from its earlier stages, including its role as Co-Coordinating Bank on a $3 billion syndicated loan for DPRP and support for working capital during commissioning.

The infrastructure financier also recently received full repayment of its foundational $300 million senior term loan to Dangote Industries Limited, which helped advance the refinery from concept to development.

AFC’s participation in the latest equity transaction therefore represents a shift from project-development and construction financing towards growth capital for an operating industrial asset.

Samaila Zubairu, President and CEO of AFC, said the corporation’s involvement reflected its conviction in DPRP and its strategy of remaining engaged with projects as they develop, become operational and mature into stable cash-generating businesses.

The immediate strategic significance for DPRP is the additional equity base as it pursues its expansion programme.

The 2,500-hectare integrated complex in Lagos comprises the 650,000-barrel-per-day refinery and an adjoining petrochemical facility. The refinery produces petrol, diesel, aviation fuel, liquefied petroleum gas, naphtha and other refined products for Nigerian, African and international markets.

Its petrochemical plant converts refinery-derived propylene into polypropylene, a material used across packaging, textiles, household products, automotive components and medical products.

The planned expansion to 1.4 million barrels per day would place the facility among the world’s largest refining complexes and substantially increase its potential role in regional petroleum-product supply.

For Dangote Group, the equity placement therefore comes at a point when the refinery is moving beyond the original construction thesis and towards a strategy centred on scale, integration and regional market penetration.

Aliko Dangote, president and chief executive of Dangote Industries and chairman of DPRP, described the transaction as a way to deepen and institutionalise the company’s shareholder base while providing capital to complement internal cash flows and external debt.

He said the capital would support the refinery’s expansion agenda and reinforce the group’s objective of increasing domestic refining and petrochemical capacity.

Investor demand becomes the other headline

Beyond the amount raised, the level of demand may be the most revealing feature of the transaction.

A 3.7x subscription means investor orders significantly exceeded the shares available in the private placement, providing a strong indication of institutional appetite for exposure to a large-scale African industrial asset.

David Bird, managing director and CEO of DPRP, said the demand demonstrated investor confidence in the refinery’s operational performance, execution capacity and leadership.

The breadth of participating investors also indicates that the Dangote refinery is increasingly being viewed not simply as a Nigerian infrastructure project but as an investable industrial platform with implications for African energy security, manufacturing and trade.

The refinery was conceived at a scale intended to reduce Nigeria’s dependence on imported petroleum products while creating an export-oriented supply base. Its adjoining petrochemical operation adds another layer, potentially allowing more value to be retained within the region by supplying industrial feedstocks locally rather than importing them.

The private placement could ultimately prove as important for African capital markets as it is for Dangote.

Large infrastructure projects on the continent have traditionally depended heavily on sovereign financing, commercial bank debt, development finance institutions and sponsor capital. Bringing institutional investors into the ownership structure at scale points to another possible route: using successful operating assets to attract long-term equity capital for their next stage of expansion.
